Overview- Person ‘X’ learns about Property law in USA. Person ‘X’ and his company ‘A’ are growing. His parents have told him that they want their garage back and ‘X’ now needs to lease some commercial space. He meets with Law associates to find out what is involved with being a tenant or shouldcompany ‘Y’ buy something. Your job-Prepare a written memorandum telling ‘X’ what he needs to know about property law and making a recommendation to him. Should he lease? Should he buy? If lease, what terms should he be concerned about? Do we recommend a triple net lease or not? What about CAM? What if the landlord wants a personal guaranty from ‘X’? Can he escape having to give a personal guarantee? If not, what can be done to minimize ‘X”s individual exposure? What ifcompany ‘Y’ needs to expand? What can we build into the lease terms to allow for that? What about buying a facility? How about zoning and local permits? How should company ‘Y’ finance the purchase? How should and in what entity should the property be held? If an entity other than company ‘Y’ what is the relationship between company ‘Y’, person ‘X’ and that entity? How should this facility be carried on the books and what does that imply for the value of company ‘Y’?
